Uplication may change these terms at any time without prior notice.
Uplication shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
Uplication reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) for any reason, with or without notice.
Violation of any of these terms will result in the termination of your Account. Uplication shall not be responsible for the content posted by users to the site.
You agree that any use of this website and services is at your own risk and you shall have no claims and / or prosecution against the site and / or owners and / or personnel for any harmful and / or improper content or errors you may be exposed to during your visit and / or use of the site or its applications or its widgets.
You should keep your login details confidential. Any action taken using your login is your sole responsibility
You are responsible for all content uploaded by you and any actions you make related to the site. You may not use the site and its services for any illegal or unauthorized purpose. You must not, in the use of the service, violate any laws including but not limited to copyright laws.
You commit not to hack and / or extract any data related to other users, not to Spam and / or harass and / or to willingly hurt and / or damage any other Uplication user or personnel.
You declare that you shall use widgets obtained through Uplication.com on your own website and / or blog and / or website and / or blog you have access authorized by their owners. Some widgets may be suitable for use on computers and you commit that you shall use these on your computer only and / or on computer you are allowed to install applications freely.
Uplication may terminate your subscription and / or disable widgets chosen by you at any time without prior announcement and / or any explanation.
Uplication cannot and will not be liable for any loss or damage from use of the subscribed widget, whether it be on a site you own or someone else’s site.
You declare that you shall not distribute and / or reverse engineer and / or modify any content and / or widget obtained through Uplication without our written consent and that you understand that all rights concerning those widgets including and not limited to copyright belong to Uplication and that you shall refrain from compromising these rights.
You agree that Uplication shall not be liable for any direct, indirect, damages, including but not limited to, loss of profits, resulting from your use of the site and services including but not limited to widgets.
You may cancel your account at any time by email notification to info@Uplication.com
Uplication may in its sole discretion refuse or remove any content that is available via the service and / or uploaded by visitors and / or users.
By submitting content on the Uplication web site, you hereby grant to Uplication solely as necessary to provide the content through the Service, a worldwide, non-exclusive, assignable, fully paid-up, and royalty-free license to display, reproduce, distribute and perform (if applicable) your content on the Uplication web site.
Under no circumstances shall Uplication be held liable for any delay or failure in performance resulting directly or indirectly from circumstances beyond its control.
You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
You agree that Uplication stores your registration data and shall be allowed to use your details occasionally for communication with you and for other purposes such as but not limited to statistic reports, advertising directly or through third parties and special offers. In case you do not wish to receive such correspondence you should notify us immediately at info@Uplication.com.
Uplication may use all information gathered and received from usage of the xywidget websites and widgets for the purpose of improvement and creation of new widgets, and all rights for said improvements ideas and widgets will be the sole property of Uplication.
You must not upload, post, host, or transmit unsolicited email, SMS, or “spam” messages.
You must not transmit any worms or viruses or any code of a destructive nature.
The failure of Uplication to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.
All Payments to a third party such as agents, publishers and narrators will be made via PAYPAL or money transfer 90 days after receiving respected revenues and after receiving invoices from said third party. All transactions' commissions shall be deducted from said third party unless stated otherwise in a written agreement between the company and said party.
Agents will receive payments for any website or agents they bring to Uplication according to the following scale: Level 1 – 10%, Level 2 – 3.5%, Level 3 – 2%, Level 4 – 1.75%, Level5 – 1%, Level6 – 0.75%, Level 7 – 0.4%, Level 8 – 0.3%, Level 9 – 0.2%, Level 10 – 0.1%. the percentage is relative to the net revenues Uplication will receive from a website or an agent after paying the website, narrators, tree planters, advertising agencies or any other third party (i.e. if a website generates 100$ in revenues for Uplication, and receives 50$ the agent that brought this site will receive 10% of what is left to Uplication i.e. 5$) an agent will continue to receive payments from websites or agents he brought to Uplication for up to 3 years after bringing said website or agent.
Uplication is using non-profit organizations to save and plant trees around the world. Said organizations are committed to plant or save the trees within a year from the time Uplication transfers the user's or advertiser's donation for planting the trees. Uplication will transfer funds for planting or saving trees within up to 90 days after actually receiving the payments from the user or third parties.
Uplication is using Mobilin LTD. To receive and send SMS's in their widgets and applications.
There are no employer employee relations Between Uplication and any third parties such as agents, advertisers, narrators, websites, users or any other party involved with the Uplication services. Nor does any of those parties represent Uplication in any way other than specifically determined (for agents) during their registration to the Uplication website.
All disputes between the company and any third party shall be resolved through arbitration (In Israel) agreed upon both sides unless agreed otherwise in a written agreement between the company and said third party.
